FuzzFolio — Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) are a contract between you (“you,” “User”) and FuzzFolio (“FuzzFolio,” “we,” “us”). By accessing or using our websites, apps, dashboards, APIs, and related services (collectively, the “Service”), you agree to these Terms and our Privacy Policy.

If you use the Service on behalf of an organization, you represent you have authority to bind it, and “you” includes that entity.

2. What the Service Is — and Is Not

What it is

• create scoring profiles using indicators, weights, parameters, timeframes, and instruments you select;
• view scores and monitoring tiles in a dashboard;
• run Signal Replay and related analysis tools (as available) to validate behavior; and
• receive notifications via supported channels (e.g., browser push and Telegram).

What it is not

The Service does not:

• provide investment, legal, tax, or accounting advice;
• act as a broker, RFED, FCM, CTA, CPO, or investment adviser;
• hold or transmit customer funds;
• route or execute orders;
• manage accounts or provide discretionary trading; or
• promise outcomes.

Any examples, templates, demo profiles, Signal Replay outputs, charts, or “moments of interest” are educational illustrations only and not recommendations to buy, sell, or hold any instrument.

3. Eligibility & Accounts

You must be at least 18 and able to form a binding contract. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate registration and billing information and keep it updated.

4. Subscriptions, Trials, Promotions, and Refunds

Plans and billing

Paid plans are billed in advance on a recurring basis (monthly or annual, depending on what you select). Taxes may apply. Fees are non-refundable except where required by law or where we explicitly state otherwise.

Trials

If your plan includes a free trial, you may be asked to provide a payment method. Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription at the then-current price, and your payment method will be charged.

Promotions and coupon codes

Promotion codes and discounts may be limited (for example: first-time customers only, limited redemptions, expiration dates). Promotions are non-transferable and may not be combined unless we state otherwise.

Cancellation

You may cancel at any time. Unless required by law, cancellation stops future renewals and you will retain access until the end of the current billing period. We do not provide refunds for partial periods.

Price changes

We may change prices from time to time. If we change pricing for your plan, we will provide notice and the change will take effect on your next renewal unless stated otherwise.

Failed payments

If a payment fails, we may retry, suspend paid features, or downgrade your account until payment is resolved.

5. Market Data and Third-Party Services

The Service relies on market data and infrastructure that may be provided by third parties. Market data can be delayed, incomplete, or differ from what you see at your broker. We do not guarantee the accuracy, completeness, or timeliness of market data, scores, or alerts.

If you connect third-party services (e.g., Telegram, webhook endpoints, or other integrations), their terms and privacy practices apply. You are responsible for your third-party accounts, permissions, and fees.

6. Optional Automation, Webhooks, and Client-Side Connectors

From time to time, we may offer webhooks or document client-side connectors (such as scripts or Expert Advisors you run) that allow your own systems to react to signals you configure in the Service.

If you use automation features:

• You remain in control. Orders (if any) are created and executed only by software you run and a broker you choose. FuzzFolio does not place orders, hold brokerage credentials, or exercise discretion over your account.
• Not advice; not copy trading. Signals are standardized and impersonal. We do not provide individualized recommendations or manage accounts.
• Your compliance obligations. Automated trading can be regulated in some jurisdictions. You are responsible for ensuring your use complies with laws and your broker’s terms. We may restrict or geoblock features where required.
• Testing & safeguards. You should test in demo environments and implement risk controls. We are not responsible for missed alerts, duplicates, slippage, latency, integration failures, or downstream outcomes.

If we ever introduce features that could constitute directing client accounts or tailored advice, access may require separate agreements and additional compliance steps; until then, such features are unavailable.

7. Trading Risk Disclosure

Trading and investing in financial markets, including FX, CFDs, futures, options, crypto assets, and other leveraged products, involves substantial risk of loss and is not suitable for every investor. You could lose some or all of your capital. Past performance, real or hypothetical, does not guarantee future results. Leverage magnifies gains and losses. Only trade with money you can afford to lose.

FuzzFolio provides software only. We do not monitor your trading, assess suitability, or prevent you from making losses. All decisions and outcomes are solely your responsibility.

Hypothetical/Simulated Results Disclosure

Signal Replay and any simulated results shown in the Service are hypothetical. They do not represent actual trading and may not reflect real-world liquidity, slippage, commissions, spreads, or execution conditions. No representation is made that any account will or is likely to achieve profits or losses similar to those shown.

8. User Content and License

You retain ownership of the data, rules, configurations, and content you add to the Service (“User Content”). You grant FuzzFolio a worldwide, non-exclusive, royalty-free license to host, process, display, and transmit User Content only as necessary to provide and improve the Service.

You are responsible for:

• the legality and accuracy of your User Content and configurations;
• maintaining your own backups; and
• ensuring your notifications and automations are configured as intended.

9. Acceptable Use

You agree not to:

• misuse or interfere with the Service or its security;
• scrape, reverse engineer, or bypass access controls except as permitted by law;
• abuse rate limits or attempt to overload the Service;
• use the Service to violate sanctions/export laws;
• infringe others’ rights; or
• use the Service to provide investment advice or a paid signals business to others unless you independently comply with all required laws and registrations.

We may throttle, suspend, or terminate access for abuse or security reasons.

10. Intellectual Property and Feedback

The Service and all related IP (software, designs, logos, and content) are owned by FuzzFolio or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal use during your subscription.

If you provide feedback, you grant us a perpetual, worldwide, royalty-free license to use it without restriction.

11. Privacy

Our Privacy Policy explains how we collect and use information. By using the Service, you consent to those practices.

12. Service Changes and Availability

We may modify, add, or discontinue features. The Service may be unavailable due to maintenance or factors outside our control. We do not provide an SLA unless separately agreed. We are not responsible for missed alerts, lost opportunities, or other effects of downtime or delays.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access for violations of these Terms, non-payment, legal risk, or security concerns.

Upon termination, your right to use the Service ends. Sections that by their nature should survive will survive, including: risk disclosures, disclaimers, limitation of liability, indemnification, and intellectual property.

14. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SCORES, SIGNALS, OR NOTIFICATIONS WILL BE ACCURATE, TIMELY, ERROR-FREE, OR UNINTERRUPTED.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUZZFOLIO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THAT PERIOD.

16. Indemnification

You will defend, indemnify, and hold harmless FuzzFolio and its affiliates, officers, employees, and agents from claims, losses, and expenses (including attorneys’ fees) arising from: (i) your use of the Service; (ii) your User Content or configurations; (iii) your violation of these Terms or applicable law; or (iv) your connections to third-party services.

17. Compliance; Export; Sanctions

You represent that you are not located in, under control of, or a national or resident of any embargoed country and are not on any restricted party list. You will comply with applicable export control and sanctions laws.

18. Governing Law; Dispute Resolution

Governing Law. These Terms are governed by the laws of the State of Texas, United States, excluding its conflict of laws rules.

Venue; Jurisdiction. You and FuzzFolio agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in any state or federal court of competent jurisdiction located in Texas, United States, and you and FuzzFolio consent to personal jurisdiction and venue in those courts.

Jury Trial Waiver. To the maximum extent permitted by law, you and FuzzFolio waive any right to a trial by jury.

19. Miscellaneous

• Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Severability: If any provision is unenforceable, the remainder remains in effect.
• Waiver: Failure to enforce a provision is not a waiver.
• Entire agreement: These Terms and the Privacy Policy are the entire agreement about the Service.
